Notice of Consolidated Subsidiary (UACJ Foil Corporation) Completing Acquisition of All Shares in Hydro Aluminium Malaysia Sdn. Bhd.

UACJ Corporation (whose main office is located in Chiyoda-ku, Tokyo, and whose president and CEO is Mitsuru Okada; “UACJ”) issued a News Room on October 30, 2013, entitled “Notice of Change of Sub-subsidiary (Through Acquisition of Shares) regarding UACJ Foil Corporation (whose main office is located in Chuo-ku, Tokyo, and whose President and Managing Director is Suketoki Oya; “UACJ Foil”), which is a wholly owned subsidiary of UACJ. UACJ hereby provides notice that the acquisition of shares was conducted as scheduled on December 31, 2013. In this transaction, UACJ Foil purchased from Hydro Aluminium Rolled Products GmbH (whose main office is located in North Rheine-Westphalia, Germany, and whose Managing Directors are Irmtraud Pawlik and Dr. Stefan Kaestner; “Hydro”) all issued and outstanding shares in its subsidiary, Hydro Aluminium Malaysia Sdn. Bhd. (whose main office is located in Johor, Malaysia, and whose Managing Director is Udo Faber; “HAM”), which is a manufacturer and distributor of aluminum foil, thereby converting HAM to a wholly owned subsidiary of UACJ Foil. The company’s name is scheduled to change.

UACJ Foil has acquired from Hydro all issued and outstanding shares in HAM, which manufactures and sells aluminum foil products in Johor, Malaysia, in order to accelerate its manufacture and sale of aluminum foil in Southeast Asian markets, where rapid growth in demand for aluminum foil is projected to continue.

UACJ aims to expand its business globally. The advancement of the UACJ Group’s foil business is one aspect of this development. Going forward, UACJ plans to consider collaboration between the current acquisition and its aluminum rolling mill that is under construction in Thailand.

Note: On January 1, 2014, Nippon Foil Mfg. Co., Ltd., merged with Sumikei Aluminum Foil Co., Ltd., and the name of the company changed to UACJ Foil Corporation.
