The Company hereby provides notice that two wholly owned subsidiaries of UACJ Corporation (Headquarters: Chiyoda-ku, Tokyo; Member of the Board, President and CEO: Mitsuru Okada; hereinafter, “UACJ”), UACJ Logistics Corporation (hereinafter, “UACJ Logistics”) and LCOMPO Co., Ltd. (hereinafter, “LCOMPO”) have entered an agreement to merge, effective April 1, 2014.

1. Objective of the Merger

UACJ Distribution and LCOMPO are UACJ Group logistics companies. By combining the companies, UACJ aims to promote integrated operations in logistics-related businesses and foster synergistic effects, thereby reinforcing the UACJ Group’s business foundation and setting the stage for future growth.

2. Outline of the Merger

(1) Method of the Merger
The companies will undergo an absorption-type merger, in which UACJ Distribution will be the surviving company and LCOMPO the absorbed company.
(2) Schedule of the Merger
Execution of merger agreement November 28, 2013
Merger (effective date) April 1, 2014 (scheduled)
(3) Allotment of Shares under the Merger
As the merger is between wholly owned subsidiaries, no shares, money or other financial assets will change hands as a result of the merger.
