Viewing strict compliance as indispensable for business survival, we have made compliance education one of our highest priorities.
Group Code of Conduct
We view corporate governance as one of the most important issues to be addressed by management. In order to achieve sustainable growth of the UACJ Group and increase its corporate value over the medium to long term through business activities based on the UACJ Group Philosophy, we are working to develop and enhance an effective governance system, including strengthening management oversight and business execution functions, appropriate disclosure of business information, and thorough compliance and risk management.
Compliance Education
To ensure that the UACJ Group Code of Conduct permeates throughout all officers and employees, we distribute the UACJ Group Code of Conduct (Pocket Version) and thoroughly conduct Code of Conduct training. In fiscal 2025, we held participatory Code of Conduct training that incorporated group discussions to further promote understanding and practice of the Group Code of Conduct. We also implement level-specific training and collective training sessions for harassment prevention measures.
Internal Reporting System
The UACJ Group operates an internal reporting system aimed at preventing compliance issues before they occur, as well as enabling early detection and resolution. In addition to establishing a shared reporting channel (common hotline) that allows anonymous reports from Group companies in Japan and overseas, we utilize the remediation platform provided by the Japan Center for Engagement and Remedy on Business and Human Rights (JaCER) * to accept consultations and reports from domestic and international stakeholders, including business partners and suppliers. Reported cases are managed by the department responsible, from investigation through to implementation of countermeasures, while ensuring thorough protection of the whistleblower.
- Japan Center for Engagement and Remedy on Business and Human Rights (JaCER) (a general incorporated association): An organization that provides a non-judicial "Engagement and Remedy Platform" for grievance handling and that aims to support and promote complaint resolution for member companies from a specialized standpoint, in accordance with the UN's Guiding Principles on Business and Human Rights
Hotline Reports Received and Status of Responses
In fiscal 2025, the Group-wide internal reporting hotline received 29 inquiries and reports. We handled these matters strictly, in accordance with laws and internal regulations, while ensuring the thorough protection of the whistleblowers.
Strict Compliance with the Antimonopoly Act and Protection of Free Competition
The UACJ Group Basic Policies and Rules for Competition Law Compliance strengthen our systems for compliance with competition laws in Japan and abroad and ensure the Group engages in fair, transparent, and open competition and legitimate business transactions. In addition, the UACJ Group Code of Conduct prohibits restraint of competition, abuse of advantageous circumstances, and other such activities. We promote understanding of these topics in training on the Code of Conduct, job-level training, and on other occasions as well, and have established a consultation contact point for employees to communicate questions and concerns.
Training sessions on the Antimonopoly Act and competition laws overseas are conducted to increase employee compliance awareness. No violations of the Japan’s Antimonopoly Act or antimonopoly laws of other countries occurred during the fiscal year.

Anti-Corruption Initiatives
The UACJ Group has taken actions to ensure that it engages in fair, transparent, and appropriate business transactions, and to strengthen our efforts to prevent the payment or receipt of bribes. These actions include establishment of the UACJ Group Basic Policies and Rules on Bribery Prevention, inclusion of provisions specifically prohibiting acts such as bribery and excessive expenditures for entertainment in the Group Code of Conduct, and promotion of thorough understanding of these matters in code of conduct education programs and job-level training. We have also created a contact point for employees to ask questions and express concerns.
Rejection of Relationships with Antisocial Forces
In its UACJ Way, a set of shared principles of conduct, the UACJ Group sets forth safety and compliance as fundamentals for its business activities. Furthermore, in the UACJ Group Code of Conduct, we make clear to executives and employees that inappropriate demands by antisocial forces are to be met with resolve and not to be accepted under any circumstances, and that all relationships with antisocial forces must be rejected.
UACJ, in accordance with its internal rules, makes donations and joins organizations only after determining that potential recipients, and organizations the Company may join, have no connections to antisocial forces.
