Result of Review by the Anti-monopoly Authority in China in Relation to Business Integration between Furukawa-Sky Aluminum Corp. and Sumitomo Light Metal Industries, Ltd.

Furukawa-Sky Aluminum Corp. and Sumitomo Light Metal Industries, Ltd. (collectively, the "Companies," and each individual a "Company") have been under review regarding the business integration between the Companies scheduled for October 1, 2013 (the "Business Integration"), by the anti-monopoly authorities in Japan and overseas. The Companies hereby announce that they received a notice of decision, dated May 8, 2013, from the Anti-monopoly Bureau of Ministry of Commerce of the People’s Republic of China (the "Bureau"), which is the anti-monopoly authority of People’s Republic of China stating that the Bureau will not prohibit the Business Integration.
As the Companies already announced on February 21, 2013, with respect to the Business Integration, the Companies have received a "Notice to the effect that a cease and desist order will not be issued" from the Japan Fair Trade Commission, and upon such notice, the Business Integration has been approved by the Japan Fair Trade Commission.
The Companies aim to become a "Globally Competitive Aluminum Company" and will continue to engage in efforts towards the Business Integration. Hereafter, the Companies are scheduled to merge on October 1, 2013 subject to approval by their respective shareholders at shareholder meetings, and other permits and licenses from relevant authorities.
